This PUT OPTION AND REGISTRATION RIGHTS AGREEMENT, dated as of October 18, 2007 (as amended, supplemented or otherwise modified from time to time, this “Agreement”), among PACIFIC DRILLING LIMITED, a corporation organized under the laws of Liberia (“Pacific Drilling”), TRANSOCEAN PACIFIC DRILLING INC., a BVI Business Company incorporated under the laws of the British Virgin Islands (the “Company”), TRANSOCEAN INC., a company organized under the laws of the Cayman Islands (“Transocean”), and TRANSOCEAN OFFSHORE INTERNATIONAL VENTURES LIMITED, a company organized under the laws of the Cayman Islands (“TOIVL”).
