THIS PURCHASE AND SALE AGREEMENT (this “Agreement”), dated as of October 29, 2007, is by and among Grant Prideco, Inc., a Delaware corporation (“Seller”), Vallourec S.A., a corporation organized under the laws of France, and Vallourec & Mannesmann Holdings, Inc., a Delaware corporation (collectively, “Buyer”).
