THIS AGREEMENT AND PLAN OF MERGER (this “Agreement”), dated as of December 11, 2007, is by and among CDM Resource Management, Ltd., a Texas limited partnership (“CDM”), each of the partners of CDM, as identified on Exhibit A hereto (each a “Partner” and collectively the “Partners”), Regency Energy Partners LP, a Delaware limited partnership (“Regency”), and ADJHR, LLC, a Delaware limited liability company and an indirect wholly owned Subsidiary of Regency (“Merger Sub”) (each of the foregoing a “Party” and collectively the “Parties”).
