THIS AGREEMENT (the “Agreement”) made effective as of February 4, 2008 (the “Effective Date”), by and between NCI Building Systems, Inc., a Delaware corporation with its principal office in the State of Texas (the “Company”), and Kenneth W. Maddox (the “Consultant”).
