CREDIT AGREEMENT, dated as of April 24, 2008, among TRICO SUPPLY AS, a limited company organized under the laws of Norway (“Holdings”), TRICO SUBSEA HOLDING AS, a limited company organized under the laws of Norway (“Intermediate Holdco”), TRICO SUBSEA AS, a limited company organized under the laws of Norway and a wholly-owned subsidiary of Holdings (the “Borrower”), the Lenders party hereto from time to time, NORDEA BANK FINLAND PLC, NEW YORK BRANCH (“Nordea”), as Administrative Agent (in such capacity, the “Administrative Agent”) and as Collateral Agent under the Security Documents (in such capacity, the “Collateral Agent”). This First Amendment to Rights Agreement, dated as of April 28, 2008 (this “Amendment”), is between Trico Marine Services, Inc., a Delaware corporation (the “Company”), and Mellon Investor Services LLC, a New Jersey limited liability company, as Rights Agent (the “Rights Agent”).
