THIS COLLABORATION AND LICENSE AGREEMENT ("Agreement"), is made and entered into as of September 4, 2002, by and between KIRIN BREWERY CO., LTD., having principal offices at 10-1 Shinkawa 2-chome, Chuo-ku, Tokyo 104-8288, Japan ("Kirin") and MEDAREX, INC., having principal offices at 707 State Road, Suite 206, Princeton, New Jersey 08540-1437, United States of America, and a wholly owned subsidiary, GENPHARM INTERNATIONAL, INC., with principal offices at 521 Cottonwood Drive, Milpitas, California 95035, United States of America (collectively, "Medarex"). Kirin and Medarex each may be referred to herein individually as a "Party," or collectively as the "Parties."
