THIS STOCKHOLDER LOCK-UP AGREEMENT (“Agreement”) is entered into as of January 14, 2003, by and between BORLAND SOFTWARE CORPORATION, a Delaware corporation (“Parent”), and DIETRICH CHARISIUS (“Stockholder”).
