For valuable consideration, the receipt and sufficiency of which is acknowledged, INTEREP NATIONAL RADIO SALES, INC., a New York corporation (the "Company"), grants to RALPH C. GUILD, with a residence address of 10 South Lake Trail, Palm Beach, Florida 33480 ("Optionee"), a non-qualified stock option (the "Option") to purchase from the Company an agree gate of 2,500 shares of the Company's Common Stock, par value $.04 per share (the "Common Stock"), at an exercise price equal to the fair market value per share of the Common Stock on the date hereof, which shall be determined based on the independent appraisal thereof to be conducted for the Company's Employee Stock Ownership Plan as of June 30, 1998 (the "Option Price").
