Reference is hereby made to that certain Management Services Agreement, dated March 11, 1998 between Bolle Inc. ("Bolle") and Marlin Holdings, Inc. ("Marlin"), as amended by that certain Amendment No. 1, dated September 23, 1998 and as in full force and effect as of the date hereof (the "Management Services Agreement"). We are pleased to inform you that on November 24, 1999, Bolle Inc. (the "Company") entered into an Agreement and Plan of Merger (the "Merger Agreement") with Worldwide Sports and Recreation. ("Purchaser") and Shade Acquisition, Inc., a wholly owned subsidiary of Purchaser ("Acquisition Sub"), pursuant to which Acquisition Sub has commenced a tender offer (the "Offer") to purchase all of the outstanding shares of the Company's common stock, par value $0.01 per share (the "Shares"), for a cash price of $5.25 per Share.
