This Amended and Restated Asset Purchase Agreement (“Agreement”) is made on September 6, 2002, with effect as of June 4, 2002 (the “Effective Date”), by and between Alion Science and Technology Corporation (formerly known as Beagle Holdings, Inc.), a Delaware corporation (“Purchaser”) and IIT Research Institute, a not-for-profit Illinois corporation (“Seller”) controlled by the Illinois Institute of Technology, a not-for-profit Illinois corporation (“IIT”).
