THIS TRANSACTION AGREEMENT (this “Agreement”) is dated as of the 30th day of September, 2002, by and between Sunrise Second Assisted Living Holdings, LLC, a Delaware limited liability company (the “Joint Venture”), and Sunrise Assisted Living Investments, Inc., a Virginia corporation (“SALII”).
