REGISTRATION RIGHTS AGREEMENT (this “Agreement”), dated as of July 16, 2004, by and among Novavax, Inc. a Delaware corporation, with headquarters located at 8320 Guilford Road, Columbia Maryland 21046 (the “Company”), and the undersigned buyers (each, a “Buyer” and collectively, the “Buyers”).
