THIS FOURTH AMENDMENT TO CREDIT AGREEMENT (the “Amendment”) is entered into as of March 29, 2005, by and among ALLIED CAPITAL CORPORATION, a corporation organized under the laws of the State of Maryland (“Borrower”), COMMERZBANK AKTIENGESELLSCHAFT NEW YORK AND GRAND CAYMAN BRANCHES (“Commerzbank”), UNION BANK OF CALIFORNIA (“Union Bank”), and BANK OF AMERICA, N.A., as Administrative Agent (in such capacity, the “Administrative Agent”) for the Lenders under the Credit Agreement (hereinafter defined).
