This Agreement (the “Agreement”) evidences the award of ___restricted shares (each, an “Award Share,” and collectively, the “Award Shares”) of the Common Stock of Human Genome Sciences, Inc. (the “Common Stock”), a Delaware corporation (the “Company”), granted to you, ___, effective as of ___(the “Grant Date”), pursuant to the Human Genome Sciences, Inc. Amended and Restated 2000 Stock Incentive Plan, as amended (the “Plan”) and conditioned upon your agreement to the terms described below. All of the provisions of the Plan are expressly incorporated into this Agreement.
