This Voting Trust Agreement is made and entered into on this 8th day of November, 2005, by and among ROSS H. MANDELL (“Mandell”) , Sky Capital Enterprises, Inc (“SCE”), Sky Capital UK Ltd. (“SkyUK”), Sky Capital LLC (“SkyLLC”), GSW Holdings LLC (“GSW” and, together with Mandell, SCE, SkyUK and SkyLLC, the “Beneficiaries”) and Marc S.
