This JOINT VENTURE AGREEMENT (together with all Schedules hereto the “Agreement”) is made as of this 15th day of May 2006 by and between INTERSECTIONS INC., a Delaware corporation (“INTX”), CONTROL RISK GROUP LIMITED, a company incorporated in England and Wales with registration number 1810707 (“CRG”) (INTX and CRG are referred to herein individually as a “Party” and together as the “Parties” or as a “Member” and together as the “Members”), CONTROL RISKS GROUP HOLDINGS LIMITED, a company incorporated in England and Wales with registration number 1548306 (“CRGH”), and SCREENING INTERNATIONAL LLC, a limited liability company formed pursuant to the laws of the State of Delaware (the “Company”).
