This Executive Severance and Change in Control Benefits Agreement (the “Agreement”) is entered into this 30th day of July, 2003 (the “Effective Date”), between Deanne M. Tully (“Executive”) and Tier Technologies, Inc. (the “Company”). This Agreement is intended to provide Executive with the compensation and benefits described herein upon the occurrence of specific events.
