The undersigned hereby agree that the Amendment No. 10 to Schedule 13D filed May 21, 2001 with respect to the shares of common stock, $0.01 par value per share, of Golden Telecom, Inc., dated as of November 10, 2006, is, and any further amendments thereto (including amendments on Schedule 13G) signed by each of the undersigned shall be filed on behalf of each of the undersigned pursuant to and in accordance with the provisions of Rule 13d-1(k) under the United States Securities Exchange Act of 1934.

THIS SHARE PURCHASE AGREEMENT (this “Agreement”), is dated as of November 3, 2006, between Altimo Holdings & Investments Ltd., a company formed under the laws of the British Virgin Islands (“Seller”) and Sunbird Limited, a company formed under the laws of Cyprus (“Purchaser”). Purchaser and Seller are sometimes referred to in this Agreement together as the “Parties” and individually as a “Party”.
