This Subscription Agreement (this “Agreement”) is entered into as of December 1, 2006 by and between ReGen Biologics, Inc., a Delaware corporation (together with its successors and permitted assigns, the “Issuer”), and the undersigned investor (together with its successors and permitted assigns, the “Investor”). Capitalized terms used but not otherwise defined herein shall have the meanings set forth in Section 9.1.

This Option Agreement (“Option Agreement”) is made as of the 30th day of November, 2006 (the “Effective Date”), by and between ReGen Biologics, Inc., a Delaware corporation (hereinafter referred to as the “Company”), and the undersigned investor (together with its successors and permitted assigns, the “Holder”).
