THIS REGISTRATION RIGHTS AGREEMENT (the “Agreement”) is made and entered into as of December 13, 2006 by and among ORBITAL SCIENCES CORPORATION, a Delaware corporation (the “Company”), and WACHOVIA CAPITAL MARKETS, LLC and BANC OF AMERICA SECURITIES LLC, as the initial purchasers (the “Initial Purchasers”) named in the Purchase Agreement (as defined below).

THIS SECOND AMENDMENT (this “Amendment”) dated as of December 7, 2006 to the Credit Agreement referenced below is by and among Orbital Sciences Corporation, a Delaware corporation (the “Borrower”), the Lenders identified on the signature pages hereto and Bank of America, N.A., as administrative agent (the “Administrative Agent”).
