THIS LIMITED LIABILITY COMPANY AGREEMENT (this “Agreement”), is made as of , 2007, by and between SSPF/CET OPERATING COMPANY LLC, a Delaware limited liability company, having an office c/o J.P. Morgan Investment Management Inc., 245 Park Avenue, New York, New York 10167 (“Operating Company”), and , a Delaware limited liability company having an office at (“Management PIH”), pursuant to the provisions of the Delaware Limited Liability Company Act, Title 6 of the Delaware Code, Section 18-101 et seq., as amended from time to time (“Delaware Act”).
