THIS AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT (this “Agreement”), is made as of February 1, 2007, by and between CARR MANAGEMENT HOLDINGS CORPORATION, a Delaware corporation, having an office c/o J.P.Morgan Investment Management Inc., 245 Park Avenue, New York, New York 10167 prior to the closing of the Merger (as hereinafter defined) and c/o Columbia Equity Trust, Inc., 1750 H Street, N.W., Suite 500, Washington, D.C. 20006 after the closing of the Merger (“Operating Company”), and CARR REALTY PARTNERS MANAGEMENT LLC, a Delaware limited liability company having an office at 1701 Pennsylvania Avenue, N.W., Suite 300, Washington, D.C. 20006 (“Management Entity”), pursuant to the provisions of the Delaware Limited Liability Company Act, Title 6 of the Delaware Code, Section 18-101 et seq., as amended from time to time (“Delaware Act”). Capitalized terms used herein are defined in Section 1.5 below or as elsewhere provided herein.
