THIS INDENTURE, dated as of July 10, 2007 (as amended, modified, restated, supplemented or waived from time to time, the “Indenture”), is by and among TOPSPIN MEDICAL, INC., a Delaware corporation, as the issuer (together with its successors and assigns in such capacity, the “Issuer”), WILMINGTON TRUST COMPANY, a Delaware banking corporation, not in its individual capacity, but solely in its capacity as the indenture trustee (together with its successors and assigns, in such capacity, the “Indenture Trustee”), and ZIV HAFT TRUSTS COMPANY LTD., a company limited by shares and registered in Israel where its principal purpose is to engage in trust business, as the co-trustee (together with its successor and assigns, in such capacity, the “Co-Trustee”).
