THIS EMPLOYMENT AGREEMENT, dated as of this 2nd day of April, 2007, by and between Fauquier Bankshares, Inc., a Virginia corporation (the “Company”), The Fauquier Bank, a Virginia banking corporation (the “Bank”), and Gregory D. Frederick (the “Executive”), and is amended as of December 31, 2008, in order to comply with applicable provisions of Section 409A of the Internal Revenue Code of 1986, as amended (the “Code”).
