AMENDMENT NO. 1, dated as of July 1, 2004 (the “Amendment”), to the Amended and Restated Deposit Agreement dated as of April 7, 2003 (the “Deposit Agreement”), among INFOSYS TECHNOLOGIES LIMITED, a company organized under the laws of the Republic of India and its successors (hereinafter referred to as the “Company”), DEUTSCHE BANK TRUST COMPANY AMERICAS, a corporation duly incorporated and existing under the laws of the State of New York, United States of America and formerly named Bankers Trust Company, as Depositary and any successor as depositary hereunder (hereinafter referred to as the “Depositary”), and all Registered Holders and Beneficial Owners from time to time of American Depositary Receipts (“Receipts”) issued thereunder.
