THIS EXECUTIVE EMPLOYMENT AGREEMENT (the “Agreement”) executed this 15th day of December, 2004, to be effective as of October 7, 2004, is made and entered into by and between ACTIVANT SOLUTIONS INC., a Delaware corporation (together with its successors and assigns permitted hereunder, the “Company”), ACTIVANT SOLUTIONS HOLDINGS INC., a Delaware corporation (together with its successor and assigns permitted hereunder, “Holdings”), and A. Laurence Jones (the “Executive”).

The Board of Directors of Activant Solutions Holdings Inc. (the “Company”) has adopted the Company’s Second Amended and Restated 2000 Stock Option Plan (the “Plan”) for certain individuals, directors and key employees of the Company and its Related Entities and certain non-employees. A copy of the Plan is being furnished to you concurrently with the execution of this Option Agreement and shall be deemed a part of this Option Agreement as if fully set forth herein. Unless the context otherwise requires, all capitalized terms used but not otherwise defined herein shall have the meanings given such terms in the Plan and in that certain Executive Employment Agreement (the “Employment Agreement”), executed as of the date hereof, to be effective as of October 7, 2004, among you, the Company and Activant Solutions Inc.
