THIS REGISTRATION RIGHTS AGREEMENT, dated as of April 1, 2004, is entered into by and between Ashford Hospitality Trust, Inc., a Maryland corporation (the “Company”) and a holder of common partnership units in Ashford Hospitality Limited Partnership, a Delaware limited partnership (the “Operating Partnership”) whose name is set forth on the signature page hereto (the “Unit Holder”).
