This Agreement of Merger is made and entered into as of June 1, 2005, by and among eBay Inc., a Delaware corporation (“Parent”), Harbour Acquisition Ltd., an Israeli company under the control of Parent (“Merger Sub”), and Shopping.com Ltd., an Israeli company (the “Company”).
