This Change of Control Retention and Severance Agreement (the “Agreement”) dated July 20, 2005, by and between Cepheid and David Harold Persing (the “Executive”). Capitalized terms used in this Agreement shall have the meanings set forth in Section 3 below. This Agreement shall become effective on the Executive’s first day of employment.
