THIS EMPLOYMENT AND NON-COMPETITION AGREEMENT (this “Agreement”) is made effective as of August 10, 2005, between HOME INTERIORS & GIFTS, INC., a Texas corporation (together with its successors and assigns, the “Company”), and EUGENIA B. PRICE (the “Executive”).
