THIS OPTION AWARD AGREEMENT (this “Agreement”), dated as of ____________ ____, 2005 is entered into between AMERISAFE, Inc., a Texas corporation (the “Company”), and Mark R. Anderson (“Optionee”). Capitalized terms used herein but not defined shall have the meanings assigned to those terms in the AMERISAFE, Inc. 2005 Equity Incentive Plan (the “Plan”). Optionee is currently an executive officer of the Company.
