THIS EMPLOYMENT AGREEMENT (the “Agreement”) is made and entered into by and between Uroplasty, Inc., a Minnesota corporation (“the Company”), and Mahedi A. Jiwani (the “Executive”) effective as of the 14th day of November, 2005.
