This Asset Purchase Agreement is entered into as of January 19, 2006, by and among: RSVP Productions, Inc. (“Seller”), a Minnesota corporation; Paul Figlmiller (“Stockholder”); PlanetOut Inc., a Delaware corporation (“Parent”); and Shuttlecraft Acquisition Corp. (“Acquisition Sub”), a Delaware corporation and a wholly owned subsidiary of Parent (collectively with Parent, the “Buyer Group” and each a “Buyer Group Entity”).
