THIS CONSULTING AGREEMENT (this “Agreement”) is made and entered into this 24th day of January, 2006, by and between Remote Dynamics, Inc., a Delaware corporation, having a principal place of business at 1155 Kas Drive, Suite 100, Richardson, Texas, 75081 (“REDI”), and Saffron Capital Management LLC, or any of its affiliates, having his its principal place of business at 350 Madison Avenue New York City NY 10017 (collectively the “Consultant”).
