This Warrant is issued to Rich Brand (“Holder”) by Toreador Resources Corporation, a Delaware corporation (the “Company”), on July 22, 2004 (the “Warrant Issue Date”) as a replacement in part for Warrant No. 027 which the Holder assigned the right to acquire 400 shares of Common Stock (as defined herein). This Warrant is issued pursuant to the terms of that certain Letter Agreement dated July 19, 2004, by and between the Company and the Holder.
