THIS LOAN AND SECURITY AGREEMENT (this “Agreement”) dated as of the Effective Date between SILICON VALLEY BANK, a California corporation (“Bank”), and COVAD COMMUNICATIONS GROUP, INC., a Delaware corporation (“Group”) and COVAD COMMUNICATIONS COMPANY, a California corporation (“Company”, together with Group, individually a “Borrower” and collectively, “Borrowers”), provides the terms on which Bank shall lend to Borrowers and Borrowers shall repay Bank.
