AGREEMENT by and between Infinity Energy Resources, Inc., a Delaware corporation (the “Company”), with offices at 950 Seventeenth Street, Suite 800, Denver, Colorado 80202; Consolidated Oil Well Services, Inc. (“Consolidated”), with offices at 1322 South Grant Street, Chanute, Kansas 66720; and Stephen D. Stanfield (the “Executive”), an individual residing in the State of Kansas, dated as of June 9, 2006.

THIS WAIVER AND AMENDMENT (this “Amendment”) is made as of August 9, 2006, among Infinity Energy Resources, Inc., a Delaware corporation (including as successor to Infinity, Inc., “Infinity”), HFTP Investment L.L.C. (“HFTP”), Gaia Offshore Master Fund, Ltd. (“Gaia”), AG Offshore Convertibles, Ltd. (“AG Offshore”), Leonardo, L.P.
