This AGREEMENT AND PLAN OF MERGER, dated as of September 20, 2006 (this “Agreement”), is among INNOVATION TECHNOLOGY GROUP, INC., a Delaware corporation (“Parent”), ITG ACQUISITION, INC., a Delaware corporation and a direct, wholly owned Subsidiary of Parent (“Merger Sub”), and VITRIA TECHNOLOGY, INC., a Delaware corporation (the “Company”).
