This Resignation Agreement (the “Agreement”) is entered into between Timothy J. O’Malley (“Mr. O’Malley”) and Medwave, Inc. (“Medwave” or the “Company”). For purposes of this Agreement, Mr. O’Malley and Medwave are collectively referred to as the “Parties.” This Agreement is effective on the Effective Date, as defined below.
