THIS PURCHASE AND SALE AGREEMENT (the “Agreement”) dated as of the 3rd day of October, 2006 and to become effective in accordance with Section 10.5 (the “Effective Date”), by and among Affirmative Insurance Holdings, Inc., a Delaware corporation (the “Buyer”) and the Persons identified on Exhibit A (collectively, the “Sellers”) that are signatories hereto. The Buyer and the Sellers are hereinafter sometimes referred to collectively as the “Parties” or singly as a “Party”.
