REGISTRATION RIGHTS AGREEMENT, dated as of November 15, 2006 among Ciphergen Biosystems, Inc., a Delaware corporation (together with any successor entity, herein referred to as the “Company”), and the initial purchasers of the Company’s Notes (as such term is defined below) named in Annex A hereto (each, and “Initial Purchaser,” and collectively, the “Initial Purchasers”) under those separate Exchange Agreements (as defined below).
