This Amendment No. 2 to Loan and Security Agreement (this “Amendment”) is entered into this 20th day of April, 2007, by and among Silicon Valley Bank, a California corporation (“Bank”), and Covad Communications Group, Inc., a Delaware corporation (“Group”), Covad Communications Company, a California corporation (“Company”), and NextWeb, Inc., a California corporation (“Nextweb”, together with Company and Group, individually a “Borrower” and collectively, “Borrowers”). Capitalized terms used herein without definition shall have the same meanings given them in the Loan Agreement (as defined below).
