THIS PLEDGE AGREEMENT (the “Agreement”) dated as of January 18th, 2007, is made by EARTH BIOFUELS, INC., a Delaware corporation (“Pledgor”), whose address is 3001 Knox Street, Suite 403, Dallas, Texas 75205, in favor of TWO PONDS, INC., a Texas corporation, as Lender Representative (“Lender Representative”), for the benefit of the Lenders (as defined below).
