This Purchase and Sale Agreement (the “Agreement”) is made and entered into as of June 20, 2007, by and among Williams Energy, L.L.C., a Delaware limited liability company (“Williams Energy”), Williams Energy Services, LLC, a Delaware limited liability company (“WES,” and with Williams Energy, the “Seller Parties”), and Williams Partners Operating LLC, a Delaware limited liability company (the “Buyer”).
