This Employment Agreement (this “Agreement”) is made and entered into as of the 1st day of September 2007 between ViewCast.com, Inc. (the “Employer”), a corporation, and Gary Klembara (the “Executive”), residing at 2910 Oak Point Drive, Garland, TX 75044. Where not otherwise defined herein, capitalized terms used herein have the meanings set forth in Section 9.1 of this Agreement.
