This Employment Agreement (“Agreement”) is entered into effective as of July 3, 2007 (the “Effective Date”), by and between The Shaw Group Inc., a Louisiana corporation (collectively with its affiliates and subsidiaries hereinafter referred to as, the “Company”), and Roy Montgomery Glover (“Employee”). The Company and Employee shall hereinafter be referred to collectively as the “Parties”.

This Employee Indemnity Agreement (this “Agreement”) dated as of July 12, 2007 (the “Effective Date”) is entered into by and between The Shaw Group Inc., a Louisiana corporation (the “Company”), and Brian K. Ferraioli (“Employee”). The Company and Employee hereinafter individually referred to as a “Party” and collectively as the “Parties”.

Gill (“Employee”) and supercedes the Employment Agreement of May 5, 2000 as amended January 10, 2001.
