This Amendment No. 2 to Key Employee Agreement (this “Amendment”) by and between David Hsia, Ph.D. (“Executive”) and Watson Pharmaceuticals, Inc. (the “Company”), a Nevada corporation is entered into as of February 21, 2008 (the “Effective Date”), and, to the extent provided herein, amends that certain Key Employee Agreement between Executive and the Company dated as of June 30, 1999, as amended by that certain Amendment No. 1 to Watson Pharmaceuticals, Inc. Key Employee Agreement dated November 15, 2000 (the “Agreement”).
