AMENDED AND RESTATED CREDIT AGREEMENT, dated as of January 31, 2008, by and among AMERICAN BEACON FUNDS (the “Trust”), acting on behalf of its portfolios or funds, as indicated on Schedule 1 hereto, as the same may from time to time be amended (each such portfolio or fund being hereafter referred to as a “Borrower” and collectively as the “Borrowers”) and AMERICAN BEACON ADVISORS, INC. formerly known as AMR Investment Services, Inc. (“ABA”).
