This AMENDED AND RESTATED CREDIT AGREEMENT (“Agreement”) is entered into as of March 14, 2008, among HOLLY CORPORATION, a Delaware corporation (the “Borrower”), each lender from time to time party hereto (collectively, the “Lenders” and individually, a “Lender”), and BANK OF AMERICA, N.A., as Administrative Agent and L/C Issuer, PNC Bank, National Association and Guaranty Bank, as co-documentation agents (together, in such capacity, the “Co-Documentation Agents” and each, in such capacity, a “Co-Documentation Agent”), and Union Bank of California, N.A. and Compass Bank, as co-syndication agents (together, in such capacity, the “Co-Syndication Agents” and each, in such capacity, a “Co-Syndication Agent”).
