THIS CONSTRUCTION MANAGEMENT AGREEMENT is made and entered into as of June 29, 2008 (the “Effective Date”), by and between OXY USA Inc., a Delaware corporation (“Owner”), and SandRidge Exploration and Production, LLC, a Delaware limited liability company (the “Construction Manager”).
